Terms of sale

1. Purpose and scope

These terms of sale (“Terms”) govern the sale of software module licenses for the Ignition platform (the “Modules”) and related maintenance services by OperaMetrix (“OperaMetrix”), a SAS (French simplified joint-stock company) with a share capital of 45 000 €, registered under number 853 004 703 (Toulouse), registered office: Immeuble ID Balma, 2 rue Jean Giono, 31130 Balma, France, through the website marketplace.operametrix.com (the “Marketplace”).

The Marketplace is intended for business customers (B2B). By placing an order, the customer (the “Customer”) confirms acting in the course of business and accepts these Terms without reservation.

2. Products and licenses

Each Module is licensed on a perpetual, non-exclusive and non-transferable basis, limited to the number of activations (Ignition gateways) stated on the product page. The license is delivered as an activation key, activated online on the Customer's gateway.

The license grants a right to use the Module; it does not transfer any intellectual property rights, which remain the exclusive property of OperaMetrix.

3. Prices

Prices are displayed in euros, excluding VAT. Applicable VAT is calculated at checkout based on the Customer's billing country and, where relevant, their EU VAT number (reverse charge for VAT-registered customers established in the EU outside France).

OperaMetrix may change its prices at any time; Modules are invoiced at the price in force at the time of the order.

4. Ordering and payment

Orders are placed online after creating a customer account. Payment is due immediately and is made by card through our secure payment provider. The order becomes final upon payment confirmation.

An invoice is issued for each order and made available in the customer account.

5. Delivery

Delivery is exclusively digital: license keys are generated as soon as payment is confirmed, sent by email and available in the customer account (“My licenses”). Module files (.modl) can be downloaded from the Marketplace.

6. Right of withdrawal

As the Marketplace is reserved for business customers, the consumer right of withdrawal does not apply. Where applicable, the Customer expressly acknowledges that the supply of digital content begins immediately after payment and waives any right of withdrawal.

7. Maintenance and support

Annual maintenance (Module updates and technical support) is offered as a yearly subscription, tacitly renewed and cancellable at any time with effect at the end of the current period. The maintenance price is stated on the product page.

Without active maintenance, the Customer keeps the right to use the acquired version of the Module, without access to updates or support.

8. Warranty and refunds

OperaMetrix warrants that Modules conform to their documentation. In case of a blocking malfunction not resolved by support within a reasonable time, the Customer may request a refund of the affected license within thirty (30) days of purchase by contacting support@operametrix.com.

9. Liability

OperaMetrix's total liability, on any grounds, is limited to the amount actually paid by the Customer for the relevant order. OperaMetrix shall not be liable for indirect damages (production loss, data loss, loss of profit); the Customer remains solely responsible for deploying the Modules in their industrial environment.

10. Personal data

The processing of the Customer's personal data is described in the Privacy Policy, available from the site footer.

11. Governing law and jurisdiction

These Terms are governed by French law. Failing amicable resolution, any dispute shall be brought before the competent courts of Toulouse, France.
